TERMS AND CONDITIONS Last Updated: 15th Jan 2026 These Terms and Conditions ("Terms") govern the access to and use of the mobile application True Value Talks (TVT) available on the Google Play Store and the website https://truevaluetalks.com/ (collectively, the "Platform"), operated by True Value Talks / TVT ("TVT", "we", "us", or "our"). By accessing, browsing, registering on, or using the Platform and/or availing any services listed thereon, you ("User", "you") agree to be bound by these Terms. If you do not agree, you must not use the Platform. 1. Nature of the Platform 1.1 TVT operates solely as an intermediary platform that facilitates discovery, connection, and engagement between Users and independent third-party service providers ("Service Providers"). 1.2 In addition to facilitation services, the Platform also hosts and displays audio, video, and informational content, including but not limited to podcasts, discussions, interviews, and informational material (collectively, "Content"). 1.3 TVT does not itself provide professional, legal, financial, medical, or advisory services through such Content. All Content is made available for general informational purposes only. 1.4 TVT does not control, supervise, manage, or guarantee the quality, accuracy, safety, legality, or delivery of services provided by Service Providers, nor does it guarantee the accuracy or reliability of any Content hosted or shared on the Platform. 2. Podcasts, Audio-Visual Content and Informational Material 2.1 The Platform provides access to podcasts, audio recordings, videos, discussions, interviews, and other informational or educational content ("Podcast Content"). Such Podcast Content is made available solely for general information and awareness purposes. 2.2 TVT does not independently verify, authenticate, or guarantee the accuracy, completeness, legality, or reliability of any Podcast Content. All views, opinions, statements, or representations expressed in such content are solely those of the respective speakers, informants, hosts, or service providers. 2.3 Users acknowledge and agree that reliance on any Podcast Content is strictly at their own risk. TVT shall not be responsible or liable for any loss, damage, or harm arising from reliance on or use of such content. 3. User Eligibility 3.1 You must be legally competent to contract under applicable Indian laws to use the Platform. 3.2 By using the Platform, you represent and warrant that all information provided by you is accurate, complete, and current. 4. Services and Booking Process 4.1 Users may browse services listed on the Platform and opt to engage a Service Provider by: Calling the contact number displayed on the Platform; Initiating a WhatsApp conversation; Booking through the Platform. 4.2 Upon selecting a service, the User may be required to make payment of the applicable amount as displayed or communicated. 4.3 Payments may be collected through QR code, third-party payment gateways, or other digital modes supported by the Platform. 4. Payments and Non-Refundability 5.1 All amounts paid on the Platform are non-refundable, unless expressly stated otherwise in writing by TVT. 5.2 Payments collected represent platform facilitation fees and/or service booking charges and are non-refundable irrespective of: Change of mind by the User; Failure to avail the service; Disputes between the User and the Service Provider. 5.3 TVT shall not be responsible for any additional payments made directly between the User and the Service Provider outside the Platform. 6. Relationship Between Parties 6.1 TVT is not a party to any contract entered into between the User and the Service Provider. 6.2 Any agreement, understanding, or transaction between a User and a Service Provider is strictly bilateral and independent of TVT. 7. Limitation of Liability – User Perspective 7.1 If a User chooses to engage, communicate with, or avail services directly from a Service Provider outside the Platform, including without limitation after initial introduction, TVT shall not be liable for: Any payment disputes; Deficiency of service; Fraud, misrepresentation, or misconduct; Personal injury, property damage, financial loss, or any harm whatsoever. 7.2 TVT shall not be responsible for services availed by the User without informing or booking through the Platform. 8. Limitation of Liability – Service Provider Perspective 8.1 If a Service Provider independently provides services to a User outside the Platform or without TVT’s involvement: TVT shall not be liable for non-payment, delayed payment, or disputes; TVT shall not be responsible for any harm, damage, loss, or claims suffered by the Service Provider. 8.2 Service Providers acknowledge that they act at their own risk when engaging directly with Users outside the Platform. 9. Data Collection and Data Sharing 9.1 TVT collects personal data of Users such as name, contact details, and service-related information for the purpose of facilitating services. 9.2 By using the Platform, the User expressly consents to: Collection and storage of personal data; Sharing of such data with relevant Service Providers strictly for service delivery. 9.3 TVT processes personal data in accordance with the Digital Personal Data Protection Act, 2023 and applicable privacy laws. 9.4 Personal data may be stored on secure cloud-based systems and shared with Service Providers under appropriate safeguards. 10. Podcast and Content Usage Terms 10.1 Users may access and view podcasts and other Content on the Platform for personal and non-commercial use only. 10.2 Users acknowledge and agree that: Content reflects the views, opinions, and statements of the respective speakers, hosts, informants, or Service Providers; Such Content may be subjective, opinion-based, or informational in nature; TVT does not independently verify or validate the Content. 10.3 Users shall not rely on any Content as a substitute for professional advice. 10.4 TVT shall not be liable for any action taken or not taken by Users based on Content viewed or heard on the Platform. 10.5 Users shall not reproduce, distribute, modify, or commercially exploit any Content without prior written consent of TVT. 11. User/ Service Provider Obligations Users agree: To provide accurate information; Not to misuse the Platform; Not to engage in unlawful, abusive, or fraudulent conduct; Not to circumvent the Platform to avoid payment obligations. Service Providers agree: To provide services in compliance with applicable laws; To use User data only for the specified service; Not to misuse or further disclose User data; To indemnify TVT against claims arising from their services. 12. Intellectual Property and Commercial Use of Content 12.1 All content available on the Platform, including but not limited to podcasts, audio recordings, videos, transcripts, text, graphics, logos, and compilations ("Platform Content"), is owned by or licensed to TVT, unless otherwise stated. 12.2 By accessing the Platform or contributing to or participating in any Content (including but not limited to calls, call recordings, podcasts, interviews, messages, chats, voice notes, or submissions), Users and Service Providers acknowledge and expressly consent that such interactions may be recorded, and grant TVT a worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable licence to use, reproduce, record, store, modify, adapt, publish, translate, distribute, publicly perform, publicly display, and create derivative works from such Content. 12.3 Such licence expressly includes the right to use Content for commercial, operational, and business purposes, including but not limited to: Text-to-speech (TTS) and speech-to-text processing; Artificial intelligence and machine learning training, modelling, and analytics; Data enrichment, content improvement, indexing, and optimisation; Marketing, promotional, educational, and research purposes; Development of new products, features, or services; Internal training, quality assessment, service improvement, and imparting qualitative trainings to employees, partners, and Service Providers. 12.4 TVT may anonymise, aggregate, or transform Content and associated data for analytics, research, or commercial use, subject to applicable law. 12.5 Nothing in these Terms restricts TVT’s rights to independently develop or use similar technologies or datasets, provided no personal data is used in violation of applicable law. 12.6 Unauthorized use of Platform Content by Users or third parties is prohibited. 13. Call Recording and Quality Monitoring 13.1 Calls made to or from TVT’s numbers, including customer support, service coordination, or onboarding calls, may be recorded. 13.2 Such recordings may be used for: service fulfillment; dispute resolution; compliance with law; quality assurance; training and performance evaluation; AI modelling and analytics. 13.3 By using the Platform or communicating with TVT, Users and Service Providers expressly consent to such recording and use. 14. Disclaimer of Warranties and Content Authenticity 14.1 The Platform, services, and all content made available through the Platform are provided on an "as is" and "as available" basis, without any warranties of any kind. 14.2 TVT does not guarantee, verify, or warrant the accuracy, completeness, reliability, or authenticity of any information, content, statements, representations, or claims shared on the Platform. 14.3 TVT acts solely as a medium for dissemination of information provided by third-party informants, contributors, or Service Providers, who independently represent and believe such information to be true and accurate. 14.4 TVT shall not be responsible or liable for any errors, omissions, inaccuracies, or consequences arising from reliance on such content. 14.5 To the fullest extent permitted by law, TVT disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. 15. Platform Role and No Agency Relationship 15.1 TVT acts solely as a technology and facilitation platform enabling Users to connect with Service Providers. 15.2 Nothing contained herein shall be construed as creating any partnership, agency, employment, joint venture, or fiduciary relationship between TVT and any Service Provider or User. 15.3 TVT does not supervise, control, or guarantee the services provided by Service Providers. 16. Limitation of Liability 13.1 To the maximum extent permitted under applicable law, the aggregate liability of TVT, whether arising in contract, tort, negligence, strict liability, or otherwise, shall not exceed the total amount actually received by TVT from the concerned User or Service Provider, as applicable, during the immediately preceding two (2) months prior to the event giving rise to the claim. 16.2 Under no circumstances shall TVT be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, business, goodwill, or data. 16.3 The User and the Service Provider expressly waive, to the fullest extent permitted by law, any right to initiate, maintain, or pursue any complaint, claim, suit, proceeding, or action against TVT arising out of or in connection with: Use of the Platform; Services availed or provided; Content accessed or relied upon; Any off-platform dealings between Users and Service Providers. 16.4 Nothing in these Terms shall exclude or limit liability to the extent such exclusion or limitation is prohibited by applicable law. 17. Indemnity Users and Service Providers agree to indemnify and hold harmless TVT from any claims, damages, losses, liabilities, and expenses arising out of: Breach of these Terms; Misuse of the Platform; Services provided or availed outside the Platform. 18. Suspension and Termination TVT reserves the right to suspend or terminate access to the Platform without notice for violation of these Terms or applicable laws. 19. Governing Law and Jurisdiction 19.1 These Terms shall be governed by and construed in accordance with the laws of India. 19.2 Subject to applicable law, courts located at Gurugram, Haryana shall have exclusive jurisdiction. 20. Dispute Resolution 20.1 Parties shall first attempt to resolve disputes amicably through good-faith negotiations. 20.2 If unresolved, disputes shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996. 20.3 The seat and venue of arbitration shall be Gurugram,Haryana and proceedings shall be conducted in English. 21. Severability If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. 22. Modification of Terms TVT reserves the right to amend or update these Terms at any time. Continued use of the Platform after such changes constitutes acceptance of the revised Terms. 23.
